# Representation & Warranties

WOL NFT Token Holders and other participants or natural or legal persons that interact with Create DAO or the Secret Energy Foundation represent and warrant that:

* They can be legally bound by this Charter according to their applicable laws.
* Their participation or interaction with the Create DAO and/or the Secret Energy Foundation is always in compliance with applicable laws, including but not limited to anti-corruption laws.
* They will be solely responsible to comply with all applicable tax laws, including, but not limited to, the reporting and payment of income tax, social security, wealth tax or similar taxes.
* Blockchain technology and distributed-ledger technology in general is untested and outside anyone’s exclusive control, and adverse changes in market forces or the technology, broadly construed, will excuse the performance of Create DAO and/or the Secret Energy Foundation.
* They understand the governance procedure and applicable rules of Create DAO and/or the Secret Energy Foundation and especially the smart contracts’ functioning and limitations.
* They understand the following risks, associated to the use of blockchain, cryptoassets and therefore Create DAO and/or the Secret Energy Foundation, which they agree to take at their sole responsibility, including but not limited to risk associated with: 

1. Ethereum’s malfunction (or any other protocol used).
2. Unfavorable regulatory action in one or more jurisdictions.
3. Theft and hacking.
4. Security weakness in the Create DAO and/or the Secret Energy Foundation components.
5. Weaknesses or exploitable breakthroughs in the field of cryptography.
6. Smart contracts underlying the Secret Energy Foundation are new and may therefore be subject to fraud and failures or include weaknesses or bugs.
7. The tax treatment crypto-assets is uncertain and there may be adverse tax consequences when participating or interacting with the Create DAO and/or the Secret Energy Foundation or holding any NFT's.
8. Losing of credentials to access WOL NFT’s results in such Create DAO and/or the Secret Energy Foundation tokens becoming unrecoverable and permanently lost.
9. Uninsured losses.
10. Internet transmission risks.
11. Insufficient participation in Create DAO and/or the Secret Energy Foundation.
12. Unanticipated risks and force majeure.
